Software License Agreement

This Software License Agreement (“Agreement”) governs the use of software, WordPress plugins, scripts, applications, digital tools, extensions, and related digital products (“Software”) provided by Yuriva Web Technologies (“Yuriva”, “we”, “us”, or “our”).

By purchasing, downloading, installing, activating, or using any Software provided by Yuriva Web Technologies, you agree to the terms of this Agreement.

If you do not agree to these terms, you must not purchase, install, activate, or use the Software.

1. License Grant

Subject to your compliance with this Agreement and successful payment of the applicable license fee, Yuriva Web Technologies grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for the permitted number of websites, domains, users, devices, or installations specified by the license purchased.

This license grants you the right to use the Software. It does not transfer ownership of the Software or its underlying intellectual property to you.

All rights not expressly granted under this Agreement are reserved by Yuriva Web Technologies.

2. License Types

Different products may be offered under different license plans.

The applicable license limit will be specified on the relevant product page, pricing page, order page, invoice, or account dashboard.

Examples may include:

Single Site License
Multi-Site License
Agency License
Developer License
Lifetime License
Subscription License
Other license types specified for a particular product

The license purchased determines the number of permitted installations or domains.

You may not exceed the applicable license limit.

3. Domain and Installation Restrictions

Where a Software license is restricted by the number of websites or domains, each active production installation may count as one licensed installation unless the applicable product documentation states otherwise.

For example:

1 Site License:
Permits use on one production website/domain.

5 Site License:
Permits use on up to five production websites/domains.

Agency License:
Permitted usage will be determined by the specific Agency License purchased.

You may not use a single-site license across multiple unrelated websites.

You may not bypass the license limit by using the Software through unauthorized copies, cloned installations, domain masking, or other technical methods.

4. Staging and Development Websites

Depending on the Software and license plan, development or staging installations may be permitted.

A staging or development installation must be used solely for development, testing, maintenance, or demonstration purposes.

A staging installation must not be used as a separate production website or as a method of circumventing the purchased license limit.

Yuriva may apply different staging rules to different products.

The applicable product documentation or license page will determine whether staging installations are included.

5. License Activation

Certain Software may require activation using a license key, account, domain, website URL, or other verification information.

During activation, the Software may communicate with Yuriva’s licensing or verification server to validate the license.

You authorize the Software to perform reasonable license verification necessary to confirm that the Software is being used according to the purchased license.

Activation may require an internet connection.

6. License Verification

The Software may periodically verify the validity of your license.

License verification may be used to determine:

Whether the license is valid.
Whether the license has expired.
Whether the permitted installation limit has been exceeded.
Whether the license has been suspended or revoked.
Whether the Software is eligible for updates or support.

We may collect limited technical information necessary for license verification, such as domain name, website URL, license key identifier, Software version, activation status, and related technical information.

We will handle personal information in accordance with our Privacy Policy.

7. License Key

A license key is issued for authorized use of the purchased Software.

You are responsible for keeping your license key secure.

You must not:

Publicly publish your license key.
Sell or transfer your license key without authorization.
Share your license key with unauthorized users.
Include your license key in publicly accessible source code.
Use a license key to activate installations beyond the permitted limit.
Attempt to modify or manipulate the license key.

You are responsible for activity resulting from unauthorized sharing of your license credentials or license key where such sharing occurred due to your actions or negligence.

8. License Activation Limits

Certain products may impose technical limits on the number of active installations or activation attempts.

If you reach your permitted activation limit, you may need to deactivate an existing installation before activating the Software on another permitted website.

Repeated or suspicious activation activity may result in temporary license restrictions while the activity is reviewed.

9. License Transfer

A license may be transferred from one website or domain to another where the applicable product permits license transfers.

The previous installation must be deactivated before transferring the license unless otherwise permitted.

A license may not be transferred for the purpose of circumventing the license limit.

Yuriva reserves the right to restrict unreasonable, excessive, fraudulent, or abusive license transfers.

10. License Renewal

For subscription-based or annually renewable licenses, continued access to certain features, updates, support, or license verification may require an active renewal.

Unless otherwise stated on the relevant product page:

Renewal extends the applicable license period.
Renewal does not increase the number of permitted installations.
Expiration may result in loss of access to updates or support.
The Software may continue functioning after expiration where technically possible, but this is not guaranteed.

Renewal terms may vary by product.

11. Lifetime Licenses

Where a product is sold as a “Lifetime License”, lifetime refers to the lifetime of the applicable product, service, or licensing offering and does not necessarily mean perpetual updates or support for an unlimited period.

Unless expressly stated otherwise on the product page, a Lifetime License does not guarantee:

Permanent availability of the Software.
Permanent availability of third-party integrations.
Unlimited future feature development.
Compatibility with every future version of third-party platforms.
Lifetime technical support.

The specific terms displayed at the time of purchase will govern the Lifetime License.

12. Updates

Where included with the purchased license, you may receive Software updates during the applicable update period.

Updates may include:

Bug fixes
Security improvements
Compatibility updates
Performance improvements
New features
Technical improvements

Yuriva does not guarantee that updates will be released at a specific frequency.

Updates may require an active license or subscription.

13. Technical Support

Support availability depends on the license or product purchased.

Support may cover issues directly related to the normal operation of the Software.

Support does not automatically include:

Custom development
Custom feature requests
Website development
Server administration
Hosting configuration
Third-party plugin development
Theme customization
Custom code debugging unrelated to the Software
Fixing unauthorized modifications
Training unrelated to the Software

Additional development or consulting services may be available separately.

14. Modifications to the Software

You may configure the Software using the options and functionality officially provided by Yuriva.

You must not modify, manipulate, or alter the Software in a manner intended to:

Circumvent licensing.
Disable license verification.
Remove security mechanisms.
Bypass activation limits.
Enable unauthorized functionality.
Facilitate unauthorized distribution.

Nothing in this Agreement restricts rights that cannot legally be restricted under applicable law.

15. Reverse Engineering

You may not reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, algorithms, licensing mechanisms, or proprietary components of the Software except to the extent that such activity is expressly permitted by applicable law.

Where applicable law permits such activity only under specific circumstances, those rights remain subject to the limitations imposed by that law.

16. Redistribution and Reselling

Unless expressly authorized in writing by Yuriva Web Technologies, you may not:

Resell the Software.
Redistribute the Software.
Rent or lease the Software.
Sublicense the Software.
Provide unauthorized copies to clients or third parties.
Upload the Software to public repositories or download sites.
Include the Software in another commercial product.
Distribute modified copies of the Software.

Purchasing a license does not provide reseller rights.

17. Agency and Client Use

If an Agency or Developer license expressly permits use for client websites, the license may be used for eligible client projects according to the purchased license limits.

The Agency remains responsible for ensuring that each installation complies with the applicable license terms.

Unless expressly permitted, a standard single-site license may not be used across multiple unrelated client websites.

18. Open-Source and Third-Party Components

Certain Software may include or interact with open-source software, third-party libraries, APIs, frameworks, or other components.

Those components may be subject to their own licenses.

Where applicable, the relevant third-party license terms will continue to apply to those components.

Nothing in this Agreement is intended to restrict rights granted to you under an applicable open-source license.

19. Third-Party Services and Integrations

The Software may integrate with third-party services, APIs, platforms, payment gateways, hosting providers, or other technologies.

Yuriva does not control third-party services.

We do not guarantee that third-party services will remain available, unchanged, secure, compatible, or free of charge.

If a third-party provider changes, restricts, discontinues, or removes its service, related Software functionality may be affected.

Such third-party changes do not automatically create a right to a refund.

20. Intellectual Property

The Software, including its source code, compiled code, architecture, design, documentation, branding, graphics, and other proprietary components, remains the intellectual property of Yuriva Web Technologies or the respective rights holder unless expressly stated otherwise.

You receive a license to use the Software, not ownership of the Software.

All trademarks, logos, product names, and branding associated with Yuriva remain the property of their respective owners.

21. Unauthorized Use

Yuriva reserves the right to investigate suspected license violations.

If we reasonably determine that a license is being used in violation of this Agreement, we may:

Request corrective action.
Require deactivation of unauthorized installations.
Suspend license activation.
Suspend updates.
Suspend technical support.
Temporarily restrict license access.
Terminate or revoke the license where permitted by law.

22. License Suspension or Termination

We may suspend or terminate a license if:

The license was obtained fraudulently.
Payment was reversed, disputed, or determined to be unauthorized.
The Software is being redistributed without authorization.
License credentials are intentionally shared or abused.
Activation limits are deliberately bypassed.
License verification mechanisms are circumvented.
The Software is used for unlawful purposes.
You materially breach this Agreement.

Where appropriate, we may provide an opportunity to correct the violation before permanent termination.

23. Effect of Termination

Upon termination or revocation of a license, you must stop using the Software and remove unauthorized installations where applicable.

Termination does not transfer ownership of the Software to you.

Provisions concerning intellectual property, prohibited use, liability, disclaimers, and other provisions intended to survive termination will remain effective.

24. No Guarantee of Compatibility

We make reasonable efforts to maintain compatibility with supported platforms and environments.

However, we do not guarantee compatibility with every future version of:

WordPress
PHP
Browsers
Operating systems
Hosting environments
Themes
Plugins
APIs
Third-party services
Server software

Third-party changes may require updates or modifications to the Software.

25. Security

We may release security updates when reasonably necessary.

Customers are responsible for maintaining supported versions of the Software and keeping their websites, servers, hosting environments, operating systems, and third-party software appropriately maintained.

No software can be guaranteed to be completely free from security vulnerabilities.

26. Warranty Disclaimer

Except where expressly required by applicable law, the Software is provided on an “as is” and “as available” basis.

Yuriva does not guarantee that the Software will be completely error-free, uninterrupted, or suitable for every individual purpose.

Nothing in this Agreement excludes any statutory rights or warranties that cannot legally be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Yuriva Web Technologies shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use, inability to use, or misuse of the Software.

This may include loss of profits, revenue, data, business opportunities, goodwill, or business interruption.

Where liability cannot legally be excluded, it will be limited to the maximum extent permitted by applicable law.

28. Refunds

Refunds for Software purchases are governed by the Refund and Returns Policy published on the Yuriva Web Technologies website.

Purchasing a license does not automatically create a right to a refund.

Refund eligibility is determined according to the applicable Refund and Returns Policy and applicable law.

29. Agreement with Other Policies

This Software License Agreement should be read together with:

Terms and Conditions
Refund and Returns Policy
Privacy Policy
Cookie Policy
Any product-specific license terms
Any terms displayed during checkout

Where a product-specific license contains additional terms, those terms may apply to that particular product.

30. Changes to This Agreement

Yuriva Web Technologies may update this Software License Agreement from time to time.

Updated terms will be published on the relevant website page with a revised “Last Updated” date.

For existing licenses, changes will generally apply prospectively unless otherwise required by applicable law.

31. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable in India.

Any dispute arising from or relating to this Agreement shall be subject to the jurisdiction of the competent courts in India, subject to applicable law.

32. Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, while the remaining provisions will continue to remain effective.

34. Acceptance

By purchasing, downloading, installing, activating, or using Yuriva Web Technologies Software, you acknowledge that you have read, understood, and agreed to this Software License Agreement.

If you do not agree to these terms, you must not use the Software.
